Terms & Conditions

 

 

1. Services

Websites 

  1. SN Web Design provides website development and design services including theme and layouts, standard SEO optimisation and responsive UI design for desktop, mobile and tablet sites. In addition to basic content writing, media uploads and consistent use of branding material.

  2. Add-on services are available and may be recommended to meet Client objectives, including but not limited to; e-commerce functionality, website performance optimisation, enhanced security and pay gate features, business analytics and tracking, third party integrations such as CMS and CRM platforms. 

  3. Additional services offered include the Google Business Page and social media Set up within branding guidelines.

  4. The above service(s) include domain registration and website hosting for one year from the date of the website launch, as agreed. 

  5. Site maintenance and technical support is provided free of charge for one year from the date of the website launch, or as otherwise agreed in writing. 

  6. Any ongoing maintenance, domain and/or hosting subscriptions after one year are the Client’s responsibility. SN Web Design offers Clients ongoing maintenance and technical support after the complimentary period for a yearly fee of $50-60 per website.

Logos & Branding Material

  1. SN Web Design provides logo design and/or branding material, working closely with the Client throughout the process including initial concept design, drafts, revision work and final completion.

  2. SN Web Design will deliver the logo drafts in accordance with the Client instructions and within the number of revisions allowed under these terms and conditions.

  3. Total fees are payable once the Client has approved the final design(s) and/or reasonable revisions have been provided as stipulated in the Fee Agreement.

  4. Logo and/or Branding Material will be delivered to the Client in digital copy only, including in the following formats, PNG, JPEG and PDF.

Business Cards

  1. SN Web Design provides services for business card design including initial concept design, drafts, revision work, digital file formatting and/or printing services.

  2. SN Web Design will deliver the business card design drafts in accordance with the Client instructions and within the number of revisions allowed under these terms and conditions.

  3. Total fees are payable once the Client has approved the final business card design and/or the allowed number of revisions have been provided.

  4. All business cards will be delivered to the Client in ready-to-print digital formats, including PNG, JPEG and PDF. 

  5. SN Web Design provides the option for printed business cards to be delivered to the Client through third party distributors. This is an add-on service that will incur additional charges.

2. Fee Agreement

  1. SN Web Design will outline the scope of services and/or deliverables to be provided (‘the Project’) in the Fee Agreement and will include the cost of services.

  2. The Fee Agreement will need to be signed and/or approved by the Client in writing before work can commence on the Project. 

  3.  If the Client requests work not included in the original Fee Agreement, such additional services, add-ons or ad hoc work will require a new Fee Agreement and/or will be invoiced separately to the Client at a rate of $150 per hour (inclusive of GST).

3. Terms of Payment

  1. The Client agrees to pay SN Web Design for services rendered in the amount set out in the Fee Agreement

  2. The Client will be required to pay a non-refundable deposit of $500 and/or the amount stipulated in the Fee Agreement before work can commence.

  3. Payment of 50% of the costs outlined in Fee Agreement will be due upon delivery of the first draft website or other deliverables to the Client. 

  4. The remaining balance of 50% will be invoiced upon final approval of the Project and/or completion.

  5. A Project will be considered complete once the Client has (i) indicated approval of the services and deliverables in writing, or (ii) by the final due date stipulated in the Fee Agreement where reasonable and bona fide efforts, revisions, and communications requests have been made by SN Web Design towards the completion of the Project, unless the Client has indicated otherwise in writing. 

  6. Where additional work outside the scope of the original Fee Agreement is requested by the Client, (such as further add-ons or ad hoc work, SN Web Design will charge an hourly rate of $150 (inclusive of GST) to be invoiced separately, unless there is a separate Fee Agreement in place covering those additional services. 

  7. All fees are to be paid in full no later than 7 business days from the date of invoice.

  8. Further payment terms may be specified via email and/or SMS communications by SN Web Design, including Instalment Plans, payment deadlines, web hosting and domain registration renewal fees, etc.

  9. Where ongoing website maintenance is provided by SN Web Design, fees for web hosting and domain name registration will be invoiced to the Client 12 months in advance and are due within 7 business days of issue.

4. Hosting and Domain Registration

  1. SN Web Design pricing may include third-party web hosting and domain registration services for one year only. 

  2. Domain names are subject to availability and SN Web Design makes no guarantee that the Client’s requested domain name(s) will be available to be registered. In this event, SN Web Design will make best efforts to secure the Client’s preferences and/or will provide several suitable options for Client’s to choose from.

  3. Hosting services are provided for one year. Renewal fees for web hosting and domain registration will be the responsibility of the Client after the first year.

 5. Revisions

  1. SN Web Design will deliver an initial website mock‑up and/or draft deliverables based on the Client’s design brief.

  2. The Client is entitled to two Major revisions and 3-5 Minor revisions after the delivery of the initial mock-up/draft deliverables. These include:

    • ​​Major revisions: Changes to overall layout, structure, colour scheme or core design concept.

    • Minor revisions: small changes and tweaks to text copy, pictures, embedded files, fonts, spacing, small styling details or minor UI finetuning.

  3. All revision requests and Client feedback must be submitted in writing within 14 days of the delivery of each mock‑up or draft deliverables, unless there is another date agreed between the parties in writing. 

  4. Requests for major revisions must be made no less than 21 days before the completion date, or on another date agreed between the parties in writing.

  5. For any further revision or requests beyond those allowed above, the Client will be invoiced separately at an hourly rate of $150 (inclusive of GST).

  6. Once the included revisions are complete or the feedback period expires, the design is deemed approved and the Project will proceed to final delivery and/or launch.

 6. Administrator Access to Your Website

  1. SN Web Design will have administrator access to the Client’s website throughout the development process. After completion of the Project, the Client will have the option for full administrator access to be transferred to them, including all associated responsibilities and maintenance required thereafter. 

  2. By default, SN Web Design will retain administrator access to the website for one year where complimentary maintenance and technical support has been indicated in the Fee Agreement. SN Web Design will then transfer and/or remove its administrator access to the website after the agreed period.

  3. The Client may elect to keep SN Web Design as an Administrator for its website through a separate Fee Agreement for annual maintenance and technical support services. The Client will remain as the website owner, and as such is wholly responsible and liable for the website, its legal compliance and management. 

7. Cancellations

  1. All deposits are non‑refundable.

  2. Where the Client breaches these terms and conditions, and/or those set out in the Fee Agreement, SN Web Design may cancel work effective immediately with no refund for services rendered or deliverables provided.

  3. The Client has the right to cancel the services at any time upon giving written notice no later than 14-21 days prior to the agreed date of completion. SN Web Design reserves the right to invoice for fees to be charged pro rata for all work completed, less the non-refundable deposit.

  4. Once services and/or deliverables have been approved by the Client, no cancellations are permitted.

  5. All cancellation requests must be submitted by the Client in writing in order to be considered. 

8. Suspension of Services

  1. SN Web Design reserves the right to refuse its services to anyone, including the right to suspend or cancel a Client’s access to existing services upon breach of these terms and conditions, or at SN Web Design’s full discretion where services have been misused by the Client for unlawful, unethical or illegitimate purposes. 

  2. SN Web Design may suspend work if payments are overdue by more than 14 days and/or where the Client becomes uncontactable and reasonable communications have been made by SN Web Design as to the progression or potential suspension of the Project and services.

  3. Where the Client fails to pay renewal fees for web hosting and domain name(s) registration, service may be disrupted or suspended.

9. Intellectual Property & Copyright

  1. SN Web Design retains copyright and ownership of all deliverables until the Client has paid in full. Only when full payment of fees is paid will all intellectual property rights to the deliverables be transferred to the Client. 

  2. The Client grants SN Web Design a non‑exclusive, royalty‑free license to reproduce and display the deliverables in SN Web Design’s portfolio, marketing materials, and website. 

  3. Any third‑party content (such as fonts, stock images, plugins or code libraries) incorporated into the deliverables remains subject to its original licence. The Client is responsible for obtaining and complying with those licences. 

  4. To the extent permitted by law, the Client irrevocably waives any moral rights in the deliverables so SN Web Design may modify or adapt them for promotional use without further approval. 

  5. If a third party alleges that the Deliverables or any associated content infringes their intellectual property rights, the Client will indemnify SN Web Design against all claims, costs and damages.

10. Warranties

  1. SN Web Design warrants that services provided will substantially conform to the specifications expressly set out in the Fee Agreement.

  2. SN Web Design will use reasonable efforts to minimise any service outages but does not guarantee to fix every interruption or that backups will always restore content.

  3. Any third‑party services (e.g. hosting, plugins, software) used, recommended or resold by SN Web Design are provided on a “as is” basis and there is no warranty as to their performance or availability.

  4. SN Web Design does not warrant the efficacy of any SEO optimisation or online marketing. We will aim to improve your online presence but do not guarantee specific results.

  5. Ongoing maintenance is only provided during the first year unless an additional agreement is made.

11. Client Responsibilities

  1. By agreeing to the terms and conditions outlined herein and in the Fee Agreement, the Client agrees that:

    • They will provide all feedback, approvals, content, files and information in a timely manner to ensure the progression of the Project and completion at the established deadlines;

    • They will provide lawful and appropriate content for use which does not infringe on third party copyright and/or licences;

    • Payment of deposit and all owing amounts are made within 7 days from receipt of invoice, or by a due date otherwise agreed in writing;

    • It will make responsible use of the services and deliverables provided for legitimate personal and/or business purposes only;

    • It will make routine back-ups of their website or any associated databases. SN Web Design will not be held responsible for any loss of data due to any cause.

    • Not reverse‑engineer, decompile, disassemble or create derivative works from any deliverable without SN Web Design’s prior written consent; and

    • Indemnify SN Web Design against all legal claims, loss or expense in accordance with these terms and conditions.

12. Indemnities

  1. The Client agrees to indemnify SN Web Design against any claim, loss or expense arising from your use of the website, including but not limited to:

    • SN Web Design’s proper performance of the services as set out in the Fee Agreement;

    • Any misuse, fraudulent, negligent or unlawful conduct by the Client associated with the services and deliverables provided by SN Web Design;

    • Any use of content, files and/or other data provided by the Client to SN Web Design including any copyright or intellectual property claims;

    • Any service outage or disruption (including third party services);

    • The Client’s breach of SN Web Designs terms and conditions, including those stipulated in the Fee Agreement; 

    • Any loss of business or other damages resulting from low periods in website traffic, technical issues related to the host server, or any other cause beyond SN Web Design’s control.

    • The Client’s breach or misuse of any third‑party service terms and conditions; and

    • Any service disruptions caused by the Client’s failure to pay renewal and/or subscriptions fees to third-party providers.

  2. The Client agrees to indemnify SN Web Design, including its officers, agents and employees, against any claims of negligence related to any direct, indirect, incidental, special or consequential loss or damage arising from:

    • Use or inability to use the Services;

    • Errors, omissions, interruptions, deletion of files, defects, delays or failures of performance;

    • Outages, communication failures, theft, destruction or unauthorised access to SN Web Design’s systems; and

    • Any damage to the Client’s computer systems or loss of data resulting from downloading, using or distributing any materials from SN Web Design’s website, affiliates or clients.

  3. In all cases, the Client’s sole and exclusive remedy for any claim under this Agreement is limited to the total fees the Client has paid to SN Web Design.

  4. This Agreement is governed by the laws of New South Wales, Australia. SN Web Design and the Client submit to the exclusive jurisdiction of the courts of New South Wales to resolve any dispute arising under or in connection with these terms and conditions.

13. Privacy & Confidentiality

  1. SN Web Design will take reasonable care to keep information, data and content provided by the Client strictly confidential and secure.

  2. SN Web Design and the Client agree to maintain the confidentiality of any proprietary or sensitive information shared.

  3. No confidential information shall be disclosed by SN Web Design or the Client without the prior written consent of the other party.

14. Changes to These Terms

  1. SN Web Design may update these terms occasionally. Any changes will be posted on this page and will be announced via email to Clients and/or subscribers.

15. Acknowledgement

  1. By engaging SN Web Design’s services, the Client confirms they have read, understood and agree to be bound by these Terms and Conditions.

Definitions

  • Terms and Conditions: Includes the provision outlined herein and in the Fee Agreement signed by the Client.

  • Services: includes client consultation, website design and development, logo and branding creation, business card layout, and project management.

  • Deliverables: Examples include website source files and login credentials, logo artwork in AI/SVG/PNG formats, print‑ready business card PDFs, and a concise brand style guide.

  • Fee Agreement: The Fee Agreement is SN Web Design’s contractual outline of the Client’s total Project cost, deposit and milestone payments, and any extra fees for additional services.

  • Project: The Project is the complete engagement between SN Web Design and the Client, encompassing all Services to be performed and Deliverables to be provided as outlined in the Fee Agreement and/or other related communications made in writing between the parties.
